Terms and Conditions

The rules of the sale: how the contract is formed, what you pay, what happens if something goes wrong, and what you can hold us to.

These terms apply to your use of verdenova.pt and to anything you buy through it. By creating an account or completing an order you accept what's written here, so it's worth reading – it's in plain English on purpose.

Who is selling to you

VerdeNova is not a company. It is the trading name of one person, working as a sole trader. Specifically, the seller is:

Because this is a sole trader and not a company, there is no registered company name, no NIPC, no commercial registry entry and no share capital – those belong to companies, and Portuguese law does not require them of someone trading in their own name. The NIF above is the seller's tax identification number for all purposes.

In this text, "VerdeNova", "we" and "our" mean that person; "you" and "your" mean whoever is using the site or ordering.

Where things stand: we aren't selling yet

VerdeNova is still being built. As of this page, ordering is closed: you can browse the range and the prices we intend to open at, but the checkout won't take an order and nothing is charged. Prices shown are indicative until we open and may change without notice in the meantime.

These terms are published now because they're a condition of opening, and so you can read them before there is a first order – not afterwards.

Your account

You can browse without an account, but you need one to order, subscribe, or see your history. When you create one:

  • You confirm you are 18 or over and able to enter into a contract.
  • You agree to give accurate details and keep them current – a wrong address is a box of fresh greens delivered to the wrong place.
  • You are responsible for keeping your password to yourself. If you think someone has got into your account, change it and tell us.

You can delete your account at any time from your profile. What happens to the data is set out in the Privacy Policy.

The produce

We sell fresh, living produce, cut to order. Two honest consequences follow:

  • Natural variation. Colour, size and density vary from cycle to cycle. Photographs on the site are illustrative and are not a promise of exact appearance.
  • A short life. Greens are cut on the morning they go out and are meant to be eaten within days. Storage guidance comes on the packaging and in the FAQs.

Anything marked "Later" – vegetables, fruit and aromatic herbs – is a planned crop, not an available one. It can't be ordered and is not for sale.

Prices and VAT

All prices are shown in euros, VAT included, at the reduced 6% rate that applies to unprocessed food. Delivery is charged separately and is shown before you confirm the order.

The rate applied to each product and to delivery is confirmed with our accountant before sales open. If any of them changes, the price shown on the site changes with it.

We try hard to keep prices right. If a price is obviously wrong through a slip – a clear data-entry error, not a promotion – we may refuse or cancel the order, telling you and refunding in full anything you've paid.

How the contract is formed

  1. You choose your produce and go to checkout.
  2. You give an address, a delivery date and a window, and confirm the total including delivery.
  3. You are sent to payment.
  4. The contract is formed when payment is confirmed and we send you the order confirmation by email. Until then there is no contract, and a checkout you started but didn't pay for commits you to nothing.

That confirmation follows the payment actually clearing – not your browser returning to the success page. The distinction matters most if you pay by Multibanco (below).

Payment

Payments are processed by Stripe. We accept cards, MB WAY, Multibanco and, on devices that support them, Apple Pay and Google Pay. We don't collect or store card details – see the Privacy Policy.

Multibanco runs on its own clock. You leave checkout with a reference and pay it later, in your own time. Until then the order is awaiting payment, not confirmed: we only prepare it once the payment lands. If the reference isn't paid within its window, the order expires and nothing is charged.

Delivery

The areas, days, time windows, prices and order cut-off are all on the Delivery Information page, which forms part of these terms.

In short: we deliver in and around Porto on Tuesdays, Thursdays and Saturdays, in two time windows, and an order has to be placed by 18:00 the day before delivery. Enter your postcode at checkout to confirm we reach you.

Risk of loss or damage passes to you on delivery.

The right of withdrawal, and fresh produce

In distance selling, a consumer normally has 14 days to withdraw from the contract without giving a reason (Portuguese Decree-Law 24/2014). That right does not apply to goods liable to deteriorate or expire rapidly, an exception set out in Article 17 of the same law.

Greens cut on the morning of delivery are precisely that case. So orders of fresh produce cannot be returned under the right of withdrawal. That isn't a restriction we invented, and it isn't a shield either: everything in the next section still applies if what arrives isn't as it should be.

If we ever sell non-perishable items – an insulated box, say – those follow the ordinary 14-day rule.

If your order arrives in poor condition

This is what stands in place of a returns window that would make no sense for living produce. If your box arrives damaged, incomplete, wilted or otherwise not as it should be:

  1. Write to us the same day or the next, at suporte@verdenova.pt.
  2. Send a photograph and your order number. We won't ask you to send spoiled greens back – there is nothing to be gained by putting them in a van again.
  3. We replace them on the next round or refund the affected items, whichever you prefer.

This is in addition to – not instead of – your statutory rights on conformity of goods under Portuguese Decree-Law 84/2021.

Changing or cancelling an order

You can ask to change or cancel an order up to the 18:00 cut-off the day before delivery, by writing to us. After that the picking list is closed, the greens are being cut for you, and we can't stop it.

If nobody is at the address during your chosen window, we'll leave the order in a safe place where that's possible and sensible, or bring it back and contact you. A second delivery attempt may carry a further delivery charge.

Subscriptions

A subscription is a standing instruction to prepare and charge for a box each cycle. Specifically:

  • Cadence: weekly or fortnightly, your choice.
  • Minimum: 3 units per box. Below that, the delivery costs more than what it carries.
  • Discount: 10% off the greens, on every box. It doesn't apply to delivery – the round costs the same whichever box is on it.
  • Charging: in advance, at the start of each cycle, to the payment method on file.
  • Changes: you can change the contents, the day and the address up to 24 hours before each cycle's charge. After that the box for that cycle is fixed – that is the moment it stops being a standing instruction and becomes a specific order.
  • Pause, skip or cancel: any time, from your profile, with no lock-in and no penalty. Cancellation takes effect from the next cycle; a cycle already charged for is delivered.
  • Failed payment: if a charge fails we retry it. If it keeps failing, the subscription is suspended and we tell you.

Loyalty card

Every paid one-off order earns a stamp. At 6 stamps, your next order takes 10% off the greens and the card resets.

Subscription boxes don't earn stamps, because they already carry their own standing 10% – stamping them would be giving the same discount twice. Stamps have no cash value, are not transferable and cannot be exchanged for money.

Refunds

Refunds go back to the payment method you used, through Stripe, and are processed as soon as we approve them. How long the money takes to appear depends on your bank or payment method – usually a few business days.

Invoicing

Every order produces an invoice, issued through certified invoicing software and sent to the account email. Since ordering is not open yet, no invoices have been issued: invoicing goes live together with sales, not after them.

Complaints and dispute resolution

If something goes wrong, the fastest route is to write to us. If we can't reach agreement, you also have:

  • The electronic Complaints Book: www.livroreclamacoes.pt.

  • Alternative dispute resolution (ADR). We have not voluntarily joined any ADR body. Membership is only compulsory in sectors such as the essential public services, and selling food is not one of them – but that leaves you with a route regardless, and the next paragraph matters to you far more than membership does.

    Consumer disputes of low economic value – those not exceeding the jurisdictional limit of the Portuguese first-instance courts – are subject to mandatory arbitration where you expressly choose to bring them before a legally authorised consumer arbitration centre (Article 14(2) and (3) of Law 24/96). The choice is yours alone; we are bound by the award whether or not we ever joined. It is by that route – legal imposition, not membership – that we are bound to the body below.

    As we operate in Porto and Maia, the territorially competent body is CICAP – Centro de Informação de Consumo e Arbitragem do Porto (www.cicap.pt). That is the body we identify to you for the purposes of Article 18 of Law 144/2015. The full list of ADR bodies is on the Portuguese consumer portal, www.consumidor.gov.pt.

Liability

We are liable for loss arising from our failure to meet these terms, as the law provides. We are not liable for failures caused by events outside our reasonable control – extreme weather, power cuts, network failures, strikes, traffic restrictions or being unable to access the delivery address. In those cases we'll tell you as soon as we can and either reschedule or refund.

Nothing in these terms excludes or limits liability that the law does not allow to be excluded or limited, nor affects your rights as a consumer.

Intellectual property

The VerdeNova name, the logo, the text, the photographs and the design of the site are ours or used under licence. You're welcome to read, print and share links; you may not reuse them commercially without written permission.

Changes to these terms

We may update these terms – to keep up with the law, or because the operation has changed. The date at the top tells you when we last did. The version that applies to your order is the one published when you placed it, not a later one.

Governing law

These terms are governed by Portuguese law. As a consumer you can bring proceedings in the courts of your own domicile, and you keep the benefit of the mandatory consumer protection rules of the country you live in – nothing here takes that away.
